Fusiones y adquisiciones transfronterizas en México durante los años noventa
Abstract
En este trabajo, se analizan las fusiones y adquisiciones
transfronterizas (FyATs) ocurridas en México durante los años
noventa, las que forman parte de los cambios en los flujos de inversión
extranjera directa (IED) ocurridos en esa década a nivel mundial. En
las FyATs, pueden distinguirse las de tipo inward, en las que destacan
las operaciones de privatización de empresas públicas ocurridas desde
1995, y las de tipo outward desarrolladas por un conjunto de grandes
empresas mexicanas para internacionalizar su producción. A nivel
macroeconómico, su principal impacto fue la fluctuante importancia
de las FyATs inward dentro de la IED. A nivel sectorial, esas FyATs
se concentraron en algunas ramas manufactureras e impactaron sobre
sus estructuras de competencia sectoriales. Por último, a nivel
microeconómico las FyATs produjeron importantes cambios en la
estructura del liderazgo de las grandes empresas desde el punto de
vista del tipo de propiedad institucional, llevando a una creciente
importancia de las empresas transnacionales en el universo de las
grandes empresas. En cuanto al desempeño de las empresas luego de
las FyATs tanto inward y outward, hay desde casos exitosos hasta
casos de éxito razonable e incluso de fracaso, con grandes costos para
las empresas involucradas.
